These Terms of Use ("Terms") govern your access to and use of SkillSwap’s services, platform, applications, websites, and any related offerings (collectively, the "Services"), operated by SkillSwap Ltd., a company registered in Cyprus ("SkillSwap," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not use the Services.

2. Agreement to Terms

By accessing or using the Services, you confirm that:

• You have read, understood, and agreed to these Terms of Use;

• If you are using the Services on behalf of an organization, you have the authority to bind that organization to these Terms;

• You consent to SkillSwap’s collection, use, and sharing of your information as described in our Privacy Policy.

These Terms constitute a legally binding agreement between you and SkillSwap.

If you do not agree to these Terms or are not eligible to use the Services, you must not use or access the Services.

3. Eligibility

You may use the Services only if you meet the following eligibility criteria:

• Age Requirement:
  You must be at least 12 years old to use SkillSwap.
  If you are under the age of majority in your jurisdiction (usually 18), you must have the consent of your parent or guardian to use the Services.

• Capacity to Contract:
  You must have the full legal capacity to enter into a binding contract under the laws of your jurisdiction.

• Compliance with Laws:
  You may not use the Services if your use violates any applicable law or regulation, including export control laws, sanctions, or embargoes.

SkillSwap may refuse to offer the Services to any person or entity at its sole discretion, and may change its eligibility criteria at any time.

4. Account Registration and Security

To access certain features of the Services, you must create an account.

When you register for an account, you agree to:

• Provide accurate, current, and complete information

• Maintain and promptly update your information as necessary

• Keep your login credentials confidential

• Notify us immediately if you discover or suspect any unauthorized access to or use of your account

You are responsible for all activities that occur under your account, whether or not you authorized them.
SkillSwap is not responsible for any loss or damage arising from your failure to safeguard your account credentials.

You may not transfer your account to another person or entity without SkillSwap’s prior written consent.

SkillSwap reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably suspect are being misused.

5. Subscriptions, Payments, and Balance Top-Ups

SkillSwap offers subscription plans and balance top-up options for access to premium features and enhanced Services.

a. Subscriptions

• By subscribing, you authorize SkillSwap (or its third-party payment processor) to charge you the subscription fees at the applicable rate and interval disclosed at the time of purchase.

• Subscriptions automatically renew unless you cancel them before the end of the current billing period.

• You may cancel your subscription at any time through your account settings or by contacting support.

b. Balance Top-Ups

• Users may purchase SkillSwap Points (the "Points") by topping up their account balance.

• Points are used within the platform to request sessions, unlock features, or participate in activities.

• Points do not constitute currency, cash, or legal tender, and cannot be redeemed for monetary value outside of SkillSwap.

c. Payment Processing

• All payments are securely processed through third-party payment providers (e.g., Stripe).

• We do not store full credit card or banking information.

d. Billing Errors and Disputes

• If you believe there has been an error in billing, please notify us within 30 days of the billing date.

• Refunds for subscription fees or Point purchases are issued at SkillSwap’s sole discretion, subject to applicable law.

6. Points System and Skill Exchange Rules

SkillSwap operates a points-based system to facilitate peer-to-peer learning exchanges.

a. Earning and Spending Points

• Users may earn Points by teaching sessions or participating in platform activities.

• Users may spend Points to request learning sessions or unlock certain platform features.

b. Points Are Non-Transferable

• Points may not be transferred, resold, bartered, or exchanged for real-world money.

• Points are for use solely within SkillSwap’s Services.

c. Expiration of Points

• Points may expire after a period of inactivity or as outlined in your account settings.

• SkillSwap reserves the right to modify the Points expiration policy at any time with notice.

d. No Guarantee of Session Availability

• While SkillSwap facilitates matching between users, we do not guarantee the availability, quality, or outcome of any learning or teaching session.

• Users are responsible for ensuring that their scheduled sessions are conducted respectfully and in accordance with SkillSwap’s Community Guidelines.

7. User Conduct and Acceptable Use

You agree to use the Services responsibly, ethically, and in compliance with all applicable laws.

You agree NOT to:

• Use the Services for any unlawful, harmful, fraudulent, deceptive, or abusive purpose

• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity

• Attempt to gain unauthorized access to other users’ accounts, SkillSwap’s systems, or networks connected to the Services

• Upload, post, or share content that is infringing, defamatory, obscene, offensive, or otherwise objectionable

• Use the Services to transmit spam, junk mail, chain letters, pyramid schemes, or unsolicited messages

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform

• Bypass or breach any security or authentication measures on the Services

• Use any robot, spider, crawler, scraper, or other automated means to access the Services for any purpose without our express written permission

• Harass, intimidate, exploit, or abuse other users

SkillSwap reserves the right, but is not obligated, to monitor, review, and remove content or user activity that violates these Terms or is otherwise objectionable.

Violation of these rules may result in immediate termination of your account and legal action where appropriate.

8. Content Ownership

SkillSwap respects your rights to your content and expects users to respect the platform’s intellectual property in return.

a. Your Content

"Your Content" means any information, text, files, images, audio, video, or other materials you submit, upload, or otherwise make available through the Services.

By submitting Your Content, you grant SkillSwap a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, modify (for format and technical adjustments), publicly display, and distribute Your Content solely for the purpose of providing, operating, and improving the Services.

You are responsible for Your Content and represent that:

• You own or have the necessary rights to submit Your Content

• Your Content does not violate the rights of any third party or any law

SkillSwap does not claim ownership of Your Content.

b. SkillSwap Content

All other materials provided by SkillSwap, including but not limited to:

• Platform design and layout

• Text, graphics, videos, logos, trademarks, brand elements

• Software code and functionalities

("SkillSwap Content") are owned or licensed by SkillSwap and are protected by intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, or transmit any SkillSwap Content without our express written permission, except as necessary for personal, non-commercial use.

9. Intellectual Property Rights

SkillSwap’s name, logo, trademarks, and service marks are the exclusive property of SkillSwap Inc. and are protected under applicable trademark, copyright, and intellectual property laws.

Nothing in these Terms grants you any rights to use SkillSwap’s intellectual property without our prior written consent.

Unauthorized use of SkillSwap’s intellectual property is strictly prohibited.

10. Disclaimers and Limitations of Liability

a. Disclaimers

The Services, SkillSwap Content, and all related materials are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

To the fullest extent permitted by law, SkillSwap disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy

• Warranties that the Services will meet your requirements, be uninterrupted, secure, error-free, or that defects will be corrected

• Warranties concerning the outcomes of any learning or teaching sessions

SkillSwap does not guarantee:

• The availability or quality of any user (learner or teacher)

• That any particular learning outcome will be achieved

• That content posted by users is accurate, reliable, or complete

Users interact with each other at their own risk.
SkillSwap does not control or endorse any content, advice, or information exchanged between users.

b. Limitation of Liability

To the fullest extent permitted by applicable law:

• SkillSwap shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, goodwill, data, or other intangible losses, arising out of or related to your use or inability to use the Services.

• SkillSwap’s total liability for any claims under these Terms or arising out of your use of the Services shall not exceed the amount you paid to SkillSwap, if any, in the 12 months prior to the event giving rise to the liability.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so some of the above limitations may not apply to you.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless SkillSwap, its affiliates, officers, directors, employees, agents, licensors, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or related to:

• Your use of the Services

• Your violation of these Terms

• Your violation of any third-party rights, including intellectual property rights or privacy rights

• Your violation of any applicable law, rule, or regulation

• Any disputes between you and other users

SkillSwap reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with SkillSwap’s defense.

12. Termination and Account Deletion

SkillSwap may suspend, restrict, or terminate your access to all or part of the Services at any time, without notice, if:

• You violate these Terms or applicable law

• You engage in fraudulent, abusive, or harmful behavior

• SkillSwap reasonably believes it is necessary to protect SkillSwap, its users, or third parties

You may also terminate your account at any time through your account settings or by contacting SkillSwap support.

Upon termination:

• Your right to access the Services immediately ceases

• Any accrued rights, remedies, obligations, or liabilities shall survive termination

• SkillSwap may retain certain data as required by law or for legitimate business purposes (as outlined in the Privacy Policy)

SkillSwap is not liable for any damages resulting from the suspension or termination of your access to the Services.

13. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of Cyprus, without regard to its conflict of law principles.

You and SkillSwap agree that:

• Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Cyprus.

• You consent to the exclusive jurisdiction of such courts and waive any objection to venue, including objections based on inconvenience.

If you are a consumer residing outside Cyprus, mandatory consumer protection laws of your country may apply, and you may be able to bring legal proceedings in your home jurisdiction.

14. Changes to These Terms

We may revise and update these Terms from time to time at our sole discretion.

When we make material changes, we will:

• Update the "Effective Date" at the top of this page

• Provide notice by posting an updated version on the Services

• In some cases, notify you via email or other direct communications

Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of the updated Terms.
